Description

LBO and Private Equity: Structuring, Financing and Modelling the Transaction

Structure a leveraged transaction and build the financial model that makes it fundable

  • 1 day — 7 h
  • In-person or virtual
  • Expert
  • Up to 6 participants

A leveraged transaction rests on a fragile balance between the price paid, the debt raised and the target's ability to service it. Negotiations turn on seemingly technical terms that ultimately determine the return: management incentive schemes, prepayment clauses and ranking between creditors. A structuring error is paid for throughout the entire holding period.

This one-day programme is designed for corporate finance professionals. It covers the architecture of the structure, debt instruments and their ranking, the construction of the financial model and the analysis of exit scenarios. Participants work hands-on with a complete model throughout the session.

Learning objectives

  • Describe the architecture of a leveraged transaction and the role of each party
  • Analyse the debt instruments used and their repayment ranking
  • Build a financial model incorporating debt and its repayment schedule

  • Assess exit scenarios and their impact on investors
