Description

Delegation of Authority: Drafting, Framing and Securing Transfers

Build enforceable delegations of authority that match how the organisation genuinely operates

  • 1 day — 7 h
  • In-person or virtual
  • Intermediate
  • Up to 6 participants

Delegations often exist on paper but do not withstand examination: vague scope, a delegate with no budget or means to act, cascading sub-delegations that were never formalised, documents left untouched after a reorganisation. Executives believe their accountability has been transferred, when in reality the chain breaks at the very first link.

This one-day programme starts from the organisation as it actually works, builds a coherent delegation architecture and then drafts the instruments themselves. Participants work on their own risk areas and leave with a drafting template and a map of the delegations to be reviewed.

Learning objectives

  • Distinguish delegation of authority from delegation of signature and from agency arrangements
  • Verify validity conditions relating to the delegate and to the scope entrusted
  • Map the risk areas that require a formalised delegation
  • Draft an instrument setting out scope, authority, competence and means
  • Frame sub-delegations and organise traceability of acceptances
  • Update the framework following reorganisations and changes of postholder

What makes this programme different

Each participant's existing delegation map reviewed and corrected during the session
Delegation instrument template completed area by area throughout the day
Stress test of delegations through a simulated review following an incident

Programme

1Mechanism and Validity Conditions

Understanding what is actually transferred

  • Effects of delegation on the accountability of senior management
  • Distinction from delegation of signature and from representation
  • Conditions relating to authority, competence and means
  • Areas in which delegation is ineffective
  • Role of formal acceptance by the delegate

2Architecture and Drafting of Instruments

Turning the organisation chart into enforceable instruments

  • Identifying risk areas by activity and by site
  • Dividing the scope with no grey zones or overlaps
  • Essential clauses of the instrument and wording to avoid
  • Framing sub-delegations and informing the reporting line
  • Alignment with job descriptions and internal procedures

3Monitoring, Evidence and Stress Testing

Keeping the framework alive over time

  • Retention of instruments and evidence of handover to the delegate
  • Periodic review after reorganisation, mobility or regulatory change
  • Training and support for newly appointed delegates
  • How to respond when an incident calls a delegation into question
