Description

Real Estate Due Diligence: Auditing the Asset, Structuring Debt and Negotiating

Secure a commercial real estate acquisition from asset audit through to debt closing

  • 1 day — 7 h
  • In-person or virtual
  • Expert
  • Up to 6 participants

A commercial real estate acquisition is won or lost during due diligence. The rent roll provided by the seller often conceals rent-free periods and upcoming lease breaks. A planning or environmental issue surfacing late in the process changes value. And financing is frequently negotiated on assumptions that do not survive the business plan revised after the audit.

This seven-hour programme is designed for experienced professionals. Participants organise the due diligence workstreams and rank blocking issues by severity. They translate findings into the business plan and into price. They then structure the financing and negotiate the undertakings requested by the lender.

Learning objectives

  • Organise due diligence workstreams and allocate tasks among the advisers appointed
  • Analyse a rent roll and assess the quality of expected income
  • Translate audit findings into the business plan and the price offered
  • Compare available acquisition structures and their consequences
  • Negotiate the undertakings and security required by the lender
  • Prepare for the life of the loan and for exit scenarios

What makes this programme different

A ranked list of blocking issues is built from an incomplete due diligence file
A rent roll is restated to reveal genuinely secured income
Financing undertakings from a draft term sheet are negotiated in a role play with the lender
