A financing is won or lost in the documentation as much as in the pricing. A term sheet drafted too broadly commits more than intended, conditions precedent remain vague, undertakings are not monitored, and a poorly perfected security interest loses its ranking at the worst possible moment. The problems surface once the file comes under pressure and everyone finally rereads the clauses.
This seven-hour programme is designed for experienced practitioners. Participants negotiate key terms, analyse pre-contractual and contractual documentation, select the security best suited to the structure, and secure its creation, ranking and enforcement.
