Buyers issue purchase orders, accept general terms and conditions and exchange emails that sometimes amount to a binding commitment. The day delivery goes wrong, the question is no longer commercial but legal: who owes what, within what timeframe and on what evidence. Without clear reference points, the limits of a warranty are discovered at the worst possible moment.
Two days to give non-lawyer buyers the right contracting reflexes: understanding how a contract is formed, reading and arbitrating sensitive clauses, building a document suited to the nature of the purchase and managing performance through to dispute resolution. Legal concepts are addressed strictly from a procurement practitioner's perspective.
