Description
Purchase Contracts Level 1: Negotiating Clauses, Drafting and Managing Execution
Draft a purchase contract that protects the company without damaging the supplier relationship
- 2 days — 14 h
- In-person or virtual
- Intermediate
- Up to 6 participants
Buyers often sign on the supplier's standard terms of sale for lack of time or of an internal template. Lead times, penalties and ownership of deliverables are therefore never discussed. The first incident reveals a contract that mainly protects the other party.
Two days to build the buyer's contractual reflexes: identify the documents that create commitment, negotiate the essential clauses and draft a purchase contract that operational teams can actually read. This first level covers contract construction through to entry into execution.
Learning objectives
- Identify the documents that commit the company in a purchase
- Rank general terms against special conditions
- Negotiate price, lead time and warranty clauses
- Draft a structured purchase contract that operational teams can understand
- Organise entry into execution and the monitoring of obligations
