Description

Structured Finance: Building the Deal, Securing Collateral and Monitoring Risk

Master the structuring and ongoing monitoring of structured finance transactions in the large corporate market

  • 2 days — 14 h
  • In-person or virtual
  • Expert
  • Up to 6 participants

Large corporate relationship managers handle transactions where conventional lending is no longer sufficient. The structure combines several tranches, extensive security packages and dense contractual documentation. A poorly calibrated clause or a loosely monitored covenant becomes costly at the first sign of stress.

These two days are designed for experienced practitioners. Participants review the main families of structured finance and the rationale for using each one. They work on tranche structuring and debt sizing, then on contractual documentation and security. Risk monitoring throughout the life of the facility is addressed through a distressed case file.

Learning objectives

  • Distinguish the main families of structured finance and the rationale for using each one
  • Size debt on the basis of the transaction's repayment capacity
  • Structure tranches and determine ranking between creditors
  • Analyse contractual documentation and the security package granted
  • Organise risk monitoring and the response to a covenant breach

What makes this programme different

The structure is built tranche by tranche, then tested against a downside earnings scenario
Contractual documentation is analysed clause by clause using a real anonymised case file
The handling of a covenant breach is role-played between bank and borrower
