Description

Financial Engineering: Analysing Equity Transactions and Their Effects

Understand what is really at stake in a capital increase or a share buy-back

  • 2 days — 14 h
  • In-person or virtual
  • Foundation
  • Up to 6 participants

Equity transactions are often decided with only a partial view of their consequences. A capital increase is presented as a simple cash injection, a share buy-back as a signal, a distribution as routine. The effects on dilution and on the position of existing shareholders remain unclear.

These two days lay the foundations of equity financial engineering. Participants break down the main transactions, measure their effects on value and on the ownership structure, and learn to read hybrid and dilutive instruments. Each mechanism is rebuilt through simple numerical cases.

Learning objectives

  • Identify the components of shareholders' equity and their role in financing
  • Break down a capital increase and measure its dilutive effects
  • Analyse a capital reduction
  • a share buy-back or a distribution
  • Read the main hybrid instruments and securities giving access to share capital
  • Assess the impact of a transaction on the financial structure and on shareholders
