Description

Usufruct and Bare Ownership – Level 2: Advanced Structuring, Trade-Offs and Risk Control

Handle complex split-ownership situations: quasi-usufruct, corporate shareholdings and contentious exits

  • 1 day — 7 h
  • In-person or virtual
  • Expert
  • Up to 6 participants

Beyond standard arrangements, splitting ownership between usufruct and bare ownership creates situations that basic tools do not resolve: quasi-usufruct over a sum of money with no written agreement, transfer of the split onto a replacement asset, distribution of reserves in a company whose shares are held under split ownership, or a disposal by holders who no longer pursue the same objective.

This one-day programme extends Level 1 into these demanding areas. It is built around complete client files and addresses the drafting of the agreements that prevent a structure from being challenged and that avoid disputes between holders of rights.

Learning objectives

  • Qualify a quasi-usufruct and organise the restitution claim by written agreement
  • Secure the transfer of the split onto new assets on a disposal or reinvestment
  • Handle split ownership of company shares where reserves are distributed
  • Weigh temporary usufruct, sale of bare ownership and successive gifting arrangements
  • Anticipate the grounds on which a split-ownership structure may be challenged
  • Organise the unwinding of the split where holders disagree

What makes this programme different

Work on complete, complex client files rather than isolated textbook cases
Guided drafting of quasi-usufruct and reinvestment clauses with commentary
Analysis of the warning signs that make a structure vulnerable under review

Programme

1Quasi-usufruct and the restitution claim

Framing usufruct over consumable assets

  • Identifying the situations that give rise to a quasi-usufruct
  • Content of the agreement and evidence of the restitution claim
  • Guarantees required from the quasi-usufructuary and use of the funds
  • Treatment of the restitution claim on the death of the usufructuary
  • Consequences of the absence of any written formalisation

2Split ownership and companies

Running a company whose shares are held under split ownership

  • Allocation of voting rights between usufructuary and bare owner by type of resolution
  • Allocation of profit and distribution of reserves built up before the split
  • Articles of association adapted to shares held under split ownership
  • Contribution of a split-ownership asset to a company and transfer of the split
  • Disposal of split-ownership shares and allocation of the proceeds

3Trade-offs, exits and risk control

Choosing the arrangement and preparing its conclusion

  • Comparison of arrangements according to the objective pursued and the time horizon
  • Reinvestment of sale proceeds and preservation of each party's rights
  • Early termination by waiver or by reunification of the rights
  • Preventing and resolving disagreements between holders
  • Documenting the arrangement and ensuring consistency across successive deeds
