Description
Private Placement Real Estate Debt: Structuring, Risk Analysis and Negotiation
Arranging and analysing real estate financing placed with private investors rather than banks
- 2 days — 14 h
- In-person or virtual
- Intermediate
- Up to 6 participants
Real estate transactions are no longer financed by bank lending alone. Private debt vehicles now act alongside or instead of banks, with more complex structures: subordination ranking, drawdown clauses and covenants tailored to the asset. Analysing them requires an understanding of real estate as much as of financial structuring.
This one-day programme covers the construction of a private placement in real estate debt: asset and sponsor selection, structuring of the debt and its security package, review of the business plan and exit scenarios, then negotiation of the documentation and covenant monitoring through to repayment.
Learning objectives
- Position private real estate debt among the funding sources available for a transaction
- Analyse a real estate asset and the sponsor's business plan
- Structure the debt according to ranking, security and drawdown arrangements
- Define covenants suited to the nature of the financed asset
- Monitor the transaction through to repayment and handle default situations
